Dear Katy,

I am writing to record the substance of our recent conversations and to formally express my intention to explore a future collaboration with you in connection with SPARK Tennis — a proposed social tennis community concept currently in development.

I was genuinely delighted that you discovered SPARK organically, chose to join the platform, and took the time to explore its vision with me. Our conversations have been encouraging and I believe there is something real worth building together.

Subject to the future incorporation of a UK legal entity and the agreement of mutually acceptable terms in a formal collaboration agreement, I would like to invite you to consider becoming a founding collaborator. In that capacity, I envisage your involvement could include co-hosting select invite-only tennis events in London, participating in brand content creation, and contributing your perspective as a professional athlete and platform user.

The nature of this letter
—This letter is entirely non-binding. It does not create any legal, financial, or contractual obligations on either of us.
—No UK company relating to SPARK has been incorporated at this time.
—No payment, equity, compensation, or other consideration is due or implied by this letter.
—Either of us may choose to step back from these conversations at any time, without liability or obligation.
—This expression of interest is non-exclusive and does not restrict either party from pursuing other opportunities.
—Any detailed terms would be discussed openly and documented only in a formal agreement, once the appropriate conditions are met.

I do ask one thing: that you allow me to refer to your name on a strictly confidential basis in investor discussions and materials, solely to describe that we are in early discussions about a possible future collaboration. Any such reference would accurately reflect the current stage of our conversations and would not imply any formal appointment, agreement, or public endorsement. I would share any specific wording with you for review before use.

I am genuinely excited about the possibility of building something meaningful with you. I look forward to continuing the conversation.
